What is the main goal for this project?

The main goal of the project will be to develop legal and compliance documents as well as assist the Chief Legal Officer and the Co-Founder of the company in filling Security Questionnaires for Software Licensing and validation. Background and experience in information security, technology, privacy, cybersecurity, policy development, regulatory, compliance, financial services, banking, regulatory, corporate, audit, human resources, and operations is valued, but not a requirement. Overall, students should be familiar with the Canadian legal system and policy development and execution.

What tasks will learners need to complete to achieve the project goal?

A group of paralegals or students having expertise or knowledge in legal concepts, policy and procedure documents, as well as audit and questionnaires will be required to work on the project. Drafting and revising documents such as the following will be required:

  • Compliance and audit function to submit required documents for proposals, bids and other kinds of submissions
  • Draft and edit Shareholder Agreement, NDA, IP Assignment, Confidentiality Agreement, Independent Contractor Agreement, Sales Agreement, By-law, Employment Agreement, Third-party Service Agreement and much more
  • Drafting and revising Term Sheets, Due Diligence, Share Conversion, Minute Book, Cap Table and more.
  • Filing Security Questionnaires for Software Licensing submissions
How will you support learners in completing the project?

All students will sign a IP Assignment and NDA. They will then decide a mutual time for a weekly team meeting. A recurring weekly team meeting via Google Meeting/Calender will be sent to them. The project objectives will be met every week in the weekly team meetings with the students.

The main objective of the program will be to develop legal and compliance documents with the Chief Legal Officer and the Co-Founder of the company and filling Security Questionnaires for Software Licensing and validation.
