Petra Mayer & Associates Consulting Inc is a small consulting firm based in BC, Canada. The owner is considering to bring on partner(s) into the business to allow for growth, business continuity and longevity. Eventually, the owner may pass full ownership to the partners as part of the exist strategy for the shareholder.


The goal of this project is to identify the pros and cons and areas of consideration to move Petra Mayer & Associates Consulting Inc. from an incorporated company that is owned 100% by a HoldCo to a partnership model.


This will involve researching and evaluating the implications of the transition in terms of brand strategy, legal set-up, compensation strategies, ownership transition, and other areas that need to be considered. Additionally, the project should also include an analysis of the time and resources required to complete the transition as well as who needs to be involved in the process.


Deliverables

By the end of the project, students should demonstrate:


  • An understanding of Petra Mayer & Associates Consulting Inc. and the current business model.
  • Evaluation of options regarding the company set up when partners are added.
  • An analysis of the pros and cons of transitioning to a partnership model.
  • An evaluation of the implications of the transition in terms of brand strategy, legal set-up, compensation strategies, and other areas that need to be considered.
  • An analysis of the time and resources required to complete the transition.
  • An identification of who needs to be involved in the process.


Final deliverables should include:


  1. A written report summarizing the research and findings.
  2. A presentation of the research and findings.


Mentorship

As the business owner, I have been the decision maker in the present set-up. I have a group of advisors that we may consult as needed (corporate lawyer, accountant, financial advisor), however, the main purpose of this project is for the student(s) to identify possible solutions.

I will be available for online meetings as required and agreed with the student(s) at the beginning of the project. Typically this may be bi-weekly meetings for the purpose of this project. Typically meetings will be with the group, unless students have specific areas they focus on and prefer 1:1 meetings.

As I am expecting insights from a variety of disciplines, multiple students on the project would be acceptable if not required. (e.g. legal, marketing, finance)
